Please read these terms carefully before using SystemeScale

These Terms and Conditions ("Terms") form a legally binding agreement between you ("User," "you," or "your") and SystemeScale ("we," "us," or "our"). By creating an account, accessing, or using our platform in any way, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not use the platform.

Acceptance of Terms

By registering for a SystemeScale account, subscribing to any of our plans, or otherwise accessing or using our platform, you agree to these Terms in full. These Terms apply to all users of the platform, including free plan users, paid subscribers, and anyone who accesses our website.

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" refers to that entity.

You must be at least 18 years of age to use SystemeScale. By using this platform, you confirm that you meet this requirement. We reserve the right to request proof of age at any time.

Your continued use of the platform following any updates to these Terms constitutes your acceptance of the revised Terms. We recommend bookmarking this page and reviewing it periodically.

Description of Service

SystemeScale is an all-in-one online business platform that provides the following core services:

  • Sales funnel builder and landing page creator
  • Email marketing — campaigns, newsletters, and automation sequences
  • Online course and membership site creation
  • Automation rules and workflow builder
  • Website and blog creation tools
  • E-commerce and digital product management
  • Booking calendar and appointment scheduling
  • CRM and contact management
  • Community and membership management tools
  • Payment gateway integrations (Stripe, Paystack, PayPal, and others)
  • Affiliate program management
  • SMS marketing capabilities

SystemeScale operates as a white-label platform powered by the underlying infrastructure of systeme.io. Features, limits, and capabilities are subject to the plan you are subscribed to. We reserve the right to modify, add, or discontinue any feature at any time, with reasonable notice where practicable.

Service availability: While we strive for 99.9% uptime, SystemeScale does not guarantee uninterrupted or error-free operation of the platform. Scheduled maintenance, third-party outages, or events beyond our control may affect availability.

Account Registration and Security

To access SystemeScale, you must create an account by providing accurate, current, and complete information. You agree to keep this information updated throughout your use of the platform.

Your responsibilities

  • You are solely responsible for maintaining the confidentiality of your login credentials (email and password)
  • You are responsible for all activities that occur under your account, whether or not you authorised them
  • You must notify us immediately at support@systemescale.com if you suspect any unauthorised access to your account
  • You may not share your account credentials with any third party or allow others to access the platform through your account
  • You may not create multiple accounts to circumvent plan limits, access restrictions, or abuse our free plan

Account accuracy

You agree to provide truthful and accurate information at all times. We reserve the right to suspend or terminate accounts found to contain false, misleading, or fraudulent information without notice or refund.

One account per user. Each account is personal and non-transferable. The only exception is team-member seats (available on Startup and above plans), which must be managed through your account's designated team settings.

Subscription Plans and Billing

SystemeScale offers both a free plan and paid subscription plans. By subscribing to a paid plan, you agree to the pricing, billing cycle, and terms set out in this section.

Pricing is displayed and billed in US Dollars (USD). Currency conversion fees, if any, are your responsibility and are charged by your bank or payment provider — not by SystemeScale.

Billing and payment

  • All paid plans are billed in advance — monthly or annually, as selected at checkout
  • Payment is processed securely via Stripe, Paystack, or other connected payment gateways
  • Your subscription renews automatically at the end of each billing period unless cancelled before the renewal date
  • You will receive an email receipt for every successful payment
  • If a payment fails, we will notify you and retry the charge. Continued failed payments may result in temporary service suspension
  • You can update your payment method at any time under Settings → My plan

Upgrades and downgrades

You may upgrade your plan at any time. The price difference will be charged on a pro-rated basis for the remaining billing period. Downgrades take effect at the start of your next billing period. You will retain access to your current plan's features until then.

Refund policy

All payments made to SystemeScale are non-refundable, except where required by applicable Nigerian consumer protection law or where we have caused a material service failure. We do not offer refunds for:

  • Unused portions of a billing period after cancellation
  • Plan upgrades or downgrades made mid-cycle
  • Annual plans after the first 14 days from the date of purchase

If you believe you are entitled to a refund, contact us within 14 days of the charge at support@systemescale.com and we will review your case.

Free plan and contact limits

The free plan is provided without charge and may be used indefinitely. However, it is subject to usage limits including contact caps, funnel limits, and a 5% transaction fee on any sales processed. Exceeding contact limits will pause new contact additions until you upgrade — no data will be deleted.

Price changes: We reserve the right to adjust subscription pricing. If we change the price of your current plan, we will notify you by email at least 30 days before the new price takes effect. You may cancel before the change applies if you do not accept the new pricing.

Acceptable Use Policy

You agree to use SystemeScale only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use and enjoyment of the platform. The following uses are strictly prohibited:

Prohibited content and activities

  • Sending unsolicited bulk email ("spam") to contacts who have not given explicit opt-in consent
  • Promoting, selling, or distributing illegal products, services, or content under Nigerian law or the laws of your users' jurisdictions
  • Publishing or distributing pornographic, obscene, hateful, defamatory, or harassing content
  • Conducting phishing, fraud, advance-fee scams, or any deceptive scheme through the platform
  • Infringing intellectual property rights — using copyrighted materials, trademarks, or proprietary content without authorisation
  • Attempting to gain unauthorised access to other users' accounts or the platform's systems
  • Using automated bots, scrapers, or scripts to extract data from the platform without our written permission
  • Reverse-engineering, decompiling, or attempting to extract the source code of any SystemeScale software
  • Selling, transferring, or sublicensing access to the platform to third parties without our written consent
  • Uploading or transmitting malware, viruses, or any code designed to disrupt, damage, or interfere with the platform
  • Using the platform in any way that places an unreasonable load on our infrastructure or interferes with other users
  • Misrepresenting your identity, impersonating SystemeScale, or falsely implying affiliation with us

Violation of this Acceptable Use Policy may result in immediate suspension or permanent termination of your account without notice or refund. We reserve the right to report illegal activities to the appropriate Nigerian authorities and/or international law enforcement agencies.

Email marketing compliance: You are solely responsible for ensuring that your email campaigns comply with applicable anti-spam laws, including Nigeria's Cybercrimes (Prohibition, Prevention, etc.) Act 2015 and any anti-spam frameworks applicable to your subscribers' locations. All contacts in your list must have given informed consent to receive your emails.

Intellectual Property

SystemeScale's intellectual property

The SystemeScale platform, including its software, code, design, interface, branding, logos, trademarks, text, graphics, and all proprietary features, is owned by or licensed to SystemeScale and is protected under Nigerian and international intellectual property law. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the platform solely for your own lawful business purposes during your subscription period.

This licence does not grant you the right to copy, reproduce, modify, distribute, create derivative works from, or otherwise exploit any part of the SystemeScale platform without our prior written consent.

Your intellectual property

You retain full ownership of all original content you create and upload to the platform — including your funnel copy, course materials, email content, images, and brand assets. By using SystemeScale, you grant us a limited, non-exclusive, royalty-free licence to host, display, and transmit your content solely as necessary to operate and deliver the platform's services to you.

We will never claim ownership of your content, use it for our own marketing without your permission, or share it with third parties except as required to operate the platform (e.g., your email content must pass through our email delivery infrastructure).

Feedback and suggestions

If you provide us with feedback, suggestions, or ideas for improving the platform, you grant us the right to use that feedback freely and without obligation or compensation to you. You acknowledge that such feedback does not create any proprietary rights for you in the platform.

Your Content and Data Ownership

Your data is yours. All content, contacts, funnels, courses, and materials you create or upload to SystemeScale remain your property. We do not claim ownership of any data or content you submit to the platform.

Data portability

You have the right to export your data at any time. SystemeScale provides tools to export your contacts, campaign data, and account information in standard formats. We encourage you to maintain your own backups of critical business data.

Data upon account closure

If you cancel or close your account, we will retain your data for 90 days from the closure date, during which you may request a full data export. After 90 days, your data will be permanently deleted from our active systems, subject to our legal retention obligations as described in our Privacy Policy.

Your subscribers and contacts

You are the data controller for the contacts and email subscribers you manage through SystemeScale. You are responsible for obtaining lawful consent from your contacts, maintaining accurate contact records, honoring unsubscribe requests, and complying with all applicable data protection laws — including the Nigeria Data Protection Act (NDPA) 2023 — in relation to the personal data of your own customers and subscribers.

You are responsible for your subscribers. SystemeScale acts as a data processor on your behalf when handling your contact list. Any breach of your subscribers' privacy rights caused by your misuse of their data is your legal responsibility — not ours.

Third-Party Services and Integrations

SystemeScale integrates with a number of third-party services to enhance the platform's functionality, including but not limited to Stripe, Paystack, PayPal, Razorpay, Flutterwave, Zoom, Google, ActiveCampaign, SendGrid, and Twilio.

  • Your use of any third-party integration is governed by that provider's own terms of service and privacy policy, not by these Terms
  • SystemeScale is not responsible for the functionality, availability, accuracy, or data practices of third-party services
  • We do not guarantee that any third-party integration will remain available. Integrations may be modified or discontinued if a third-party changes its API or terms
  • If you connect a payment gateway, you agree to that gateway's merchant terms in addition to ours. You are responsible for ensuring your use of that gateway complies with their requirements

SystemeScale is powered by the underlying infrastructure of systeme.io. Your use of the platform is also subject to systeme.io's platform-level terms and policies, which govern the technical infrastructure on which SystemeScale operates.

Disclaimers and Warranties

SystemeScale provides its platform and services on an "as is" and "as available" basis, without warranties of any kind — either express or implied. To the fullest extent permitted by Nigerian law, we expressly disclaim all warranties, including:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the platform will meet your specific business requirements or expectations
  • Warranties that the platform will be uninterrupted, error-free, or completely secure at all times
  • Warranties regarding the accuracy, reliability, or completeness of any content on the platform

Business results

SystemeScale is a tool. We make no representations or guarantees about the business results you will achieve by using our platform. Revenue, growth, sales conversions, and business outcomes are entirely dependent on your own efforts, strategy, and market conditions. Any income examples or case studies shared in our marketing materials are illustrative and not guarantees of similar results.

Important: Nothing on the SystemeScale platform constitutes legal, financial, tax, or professional business advice. You should seek independent professional advice for any such matters.

Limitation of Liability

To the maximum extent permitted by applicable Nigerian law, SystemeScale and its officers, employees, agents, partners, and licensors shall not be liable to you for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Damages arising from interruption, suspension, or termination of the service
  • Damages arising from the acts or omissions of third-party service providers integrated with the platform
  • Loss or corruption of your data caused by circumstances beyond our reasonable control

Whether or not we have been advised of the possibility of such damages and regardless of the legal theory on which the claim is based.

Aggregate liability cap

In any case where SystemeScale is found liable for direct damages, our total aggregate liability to you for all claims arising from or relating to your use of the platform shall not exceed the total amount you paid to us in the 12 months immediately preceding the event giving rise to the claim, or USD $100 — whichever is greater.

Some jurisdictions do not allow limitations on implied warranties or incidental damages. If you are located in such a jurisdiction, some of the above limitations may not apply to you, in which case our liability will be limited to the fullest extent permitted by that jurisdiction's law.

Indemnification

You agree to defend, indemnify, and hold harmless SystemeScale and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in connection with:

  • Your use of or access to the platform
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third party's rights, including intellectual property rights or data privacy rights
  • Content you publish, distribute, or transmit through the platform
  • Your misuse of your subscribers' personal data or non-compliance with applicable data protection law
  • Any claim by your customers relating to products, services, or courses sold through your SystemeScale account

SystemeScale reserves the right, at your expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you. You agree to cooperate fully with our defence of any such claims.

Termination

Termination by you

You may cancel your account and terminate your use of SystemeScale at any time by going to Settings → My plan and following the cancellation instructions. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the period ends, after which your account reverts to the free plan — or closes entirely if you choose full deletion.

Termination by SystemeScale

We reserve the right to suspend or permanently terminate your account at any time, with or without notice, if we determine that you have:

  • Violated these Terms or our Acceptable Use Policy
  • Engaged in fraudulent, illegal, or harmful activity through the platform
  • Provided false or misleading information during registration or billing
  • Failed to pay applicable subscription fees after reasonable notice
  • Used the platform in a manner that poses risk to other users, to us, or to third parties

In cases of serious or repeated violations, we may terminate your account immediately without refund and without liability to you.

Effect of termination

Upon termination, your right to access and use the platform ceases immediately. We will retain your data for 90 days to allow you to request an export. After 90 days, all data associated with your account will be permanently deleted, subject to our legal retention obligations.

Sections of these Terms that by their nature should survive termination — including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law — shall survive the termination of your account.

Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Dispute resolution process

Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute informally. If you have a complaint or concern, please contact us at support@systemescale.com and allow us 30 days to respond and attempt to resolve the matter in good faith.

Jurisdiction

If the dispute cannot be resolved informally, you agree to submit to the exclusive jurisdiction of the competent courts of the Federal Republic of Nigeria for the resolution of any legal proceedings arising from or related to these Terms or your use of the platform.

For users located outside Nigeria, nothing in this clause prevents you from relying on mandatory consumer protection rights provided by the laws of your own country that cannot be contractually waived.

Class action waiver: To the extent permitted by law, you waive any right to participate in class action lawsuits or class-wide arbitration proceedings against SystemeScale.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Notify you by email (sent to your registered email address) at least 14 days before changes take effect
  • Display an in-platform notification for active users

If you do not agree with the updated Terms, you must stop using the platform and cancel your account before the effective date of the changes. Your continued use of SystemeScale after the effective date constitutes your acceptance of the updated Terms.

For minor changes — such as corrections of typographical errors, clarifications, or updates that do not materially alter your rights — we may update these Terms without advance notice.
